Acceptance of Terms

By accessing or using the services provided by QAIL AI, Inc. (“QAIL AI”, “we”, “our”, or “us”), you agree to be bound by these Terms of Service. If you do not agree to these terms, please do not use our services.

We may modify these terms from time to time, and such modifications will be effective immediately upon posting with an updated “Last Updated” date. Your continued use of the service following any changes constitutes your acceptance of the revised terms.

Description of Service

QAIL AI provides an AI-powered lead quality assurance platform that helps businesses optimize their marketing campaigns and improve lead quality. The service may include features such as lead scoring, fraud detection, lead verification, analytics, and integration with third-party marketing platforms.

Account Registration

To access certain features of our service, you may be required to register for an account. You agree to provide accurate, current, and complete information during the registration process and to update such information to keep it accurate, current, and complete.

You are responsible for safeguarding your password and for all activities that occur under your account. You agree to notify us immediately of any unauthorized use of your account or any other breach of security.

User Conduct

You agree not to use the service to:

  • Violate any applicable laws or regulations
  • Infringe the intellectual property rights of any third party
  • Upload or transmit viruses or any other malicious code
  • Attempt to gain unauthorized access to our systems or networks
  • Interfere with or disrupt the integrity or performance of the service
  • Collect or harvest any information from the service without authorization

Payment Terms

If you choose a paid subscription plan, you agree to pay the fees associated with the selected plan. We reserve the right to change our prices upon 30 days’ notice. If you do not agree with the price changes, you have the right to reject the change by canceling your subscription before the price change goes into effect.

Intellectual Property

All content and materials available on our service, including but not limited to text, graphics, website name, code, images, and logos, are the intellectual property of QAIL AI and are protected by applicable copyright and trademark law.

We grant you a limited, non-exclusive, non-transferable, and revocable license to use our service for your personal or business purposes, subject to these Terms of Service.

Data Usage and Privacy

Our collection and use of personal information is governed by our Privacy Policy. By using our service, you acknowledge our data practices as described in the Privacy Policy.

Data Processing Terms

To the extent that QAIL AI processes personal data on your behalf as a data processor (as defined under the GDPR) or service provider (as defined under the CCPA/CPRA), the following terms apply:

GDPR Data Processing

  • QAIL AI will process personal data only on your documented instructions, including with regard to transfers of personal data to a third country, unless required to do so by applicable law.
  • We ensure that persons authorized to process the personal data have committed themselves to confidentiality.
  • We implement appropriate technical and organizational measures to ensure a level of security appropriate to the risk, including encryption, access controls, and regular security assessments.
  • We will assist you in fulfilling your obligation to respond to data subject requests (access, rectification, erasure, portability, restriction, and objection).
  • We will notify you without undue delay after becoming aware of a personal data breach.
  • Upon termination of the service, we will, at your choice, delete or return all personal data processed on your behalf and delete existing copies, unless applicable law requires storage.
  • We will make available to you all information necessary to demonstrate compliance with these obligations and allow for and contribute to audits conducted by you or an auditor mandated by you.

CCPA/CPRA Service Provider Terms

To the extent QAIL AI qualifies as a “service provider” under the CCPA/CPRA:

  • We will not sell or share the personal information we receive from you or collect on your behalf.
  • We will not retain, use, or disclose personal information for any purpose other than the business purposes specified in our agreement with you, or as otherwise permitted by the CCPA/CPRA.
  • We will not combine personal information received from you with personal information received from other sources, except as permitted by the CCPA/CPRA.
  • We will comply with applicable obligations under the CCPA/CPRA and will assist you in responding to verifiable consumer requests.
  • We will notify you if we determine that we can no longer meet our obligations under the CCPA/CPRA.
  • We grant you the right to take reasonable and appropriate steps to help ensure that we use your consumers’ personal information in a manner consistent with your obligations under the CCPA/CPRA.

Limitation of Liability

To the maximum extent permitted by law, QAIL AI shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including without limitation, loss of profits, data, use, goodwill, or other intangible losses, resulting from your access to or use of or inability to access or use the service.

Disclaimer of Warranties

The service is provided on an “as is” and “as available” basis. QAIL AI expressly disclaims all warranties of any kind, whether express or implied, including but not limited to the implied warranties of merchantability, fitness for a particular purpose, and non-infringement.

Termination

We may terminate or suspend your access to the service immediately, without prior notice or liability, if you breach these Terms of Service. Upon termination, your right to use the service will cease immediately. You may request a copy of your data or its deletion in accordance with our Privacy Policy.

You may terminate your account at any time by contacting us at legal@qail.ai. Upon your request, we will provide data portability or deletion of your data as required by applicable data protection laws.

Dispute Resolution

Any dispute, claim, or controversy arising out of or relating to these Terms of Service or the breach, termination, enforcement, interpretation, or validity thereof shall be resolved as follows:

  • Informal Resolution: Before filing any formal proceeding, you agree to first contact us at legal@qail.ai to attempt to resolve the dispute informally. We will attempt to resolve the dispute within 30 days of receiving your notice.
  • Binding Arbitration: If the dispute is not resolved informally, either party may elect to have the dispute resolved by binding arbitration administered by the American Arbitration Association (AAA) under its Commercial Arbitration Rules. The arbitration shall be conducted in Sacramento, California. The arbitrator’s decision shall be final and binding.
  • Class Action Waiver: You agree that any dispute resolution proceedings will be conducted on an individual basis and not in a class, consolidated, or representative action.
  • Exceptions: Either party may seek injunctive or equitable relief in any court of competent jurisdiction to protect its intellectual property rights pending the outcome of arbitration.

Governing Law

These Terms shall be governed and construed in accordance with the laws of the State of California, United States, without regard to its conflict of law provisions.
